These Terms of Service ("Terms") govern your use of this website and any wholesale purchase from Nations Wholesale LLC ("we", "us", or "our"). By using this site or placing an order, you agree to these Terms.

Business-to-business sales only

We sell wholesale, for resale, to registered businesses only. Opening an account requires a valid business registration and a resale or sales tax exemption certificate. We do not sell to the general public, and we may decline or close any account at our discretion.

Website content

The content on this site is provided for general information about our business. Product categories, descriptions, and availability are indicative and may change without notice. Nothing on this site is an offer to sell a specific item at a specific price; binding terms are set out in the quote or invoice we issue to your account.

Quotes, pricing, and orders

• Pricing is quoted per account and is valid only for the period stated in the quote.
• Minimum order quantities vary by product and category.
• An order is accepted only when we confirm it in writing and payment has cleared, unless other terms are agreed in writing.
• We may cancel or adjust an order if stock becomes unavailable, and will notify you if that happens.

Payment

We accept ACH and wire transfer. Unless written credit terms have been agreed, payment is due in full before an order is released for shipment. You are responsible for any bank fees charged on your side of a transfer.

Shipping, title, and risk

Freight is quoted per order. We ship to your facility, your prep center, or directly to marketplace fulfillment centers as instructed. Delivery estimates are estimates, not guarantees, and we are not responsible for carrier delays. Title and risk of loss pass to you on delivery to the carrier unless otherwise stated on the invoice.

Inspection and claims

Please inspect all shipments on arrival. Claims for damaged, defective, short, or incorrectly shipped goods must be submitted within 14 days of delivery, with the order number and supporting photographs where applicable. See our Return & Refund Policy for the full procedure.

Documentation and marketplace compliance

We provide commercial invoices for all orders, and Letters of Authorization for brands we are authorized to distribute. Marketplace ungating, category approval, and listing decisions are made solely by the marketplace. We cannot and do not guarantee that any marketplace will approve a given brand, category, or listing, or that documentation we supply will produce a particular outcome.

Your responsibilities as a reseller

• Comply with all applicable laws and with the policies of any marketplace on which you resell.
• Store, handle, and ship products appropriately, including any temperature or expiry requirements.
• Keep your tax and business documentation current and accurate.
• Do not alter product packaging or labeling in a way that misrepresents the product.

Intellectual property

The Nations Wholesale LLC name, logo, and site content are our property. Third-party brand names and trademarks referenced in connection with products remain the property of their respective owners, and their use does not imply any endorsement or partnership beyond the distribution authorization we hold.

Disclaimer of warranties

This website is provided "as is" without warranties of any kind, express or implied. Products are sold subject to the manufacturer's warranty, if any; we make no additional warranty of merchantability or fitness for a particular purpose beyond what applicable law requires.

Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to any order is limited to the amount you paid for the goods giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits, lost sales, or marketplace account actions.

Governing law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. The courts located in New Jersey shall have exclusive jurisdiction over any dispute arising under these Terms.

Changes to these Terms

We may update these Terms from time to time. The revised version will be posted on this page with a new "last updated" date, and applies to orders placed after that date.
